Terms and Conditions

Authorized Agent

Any employee, representative or third-party service provider authorized by a User to interact with the Platform on their behalf.

Content

Includes all data, documents, messages, media and communications sent, generated, stored or transmitted through the Platform, whether by Users or automated AI agents.

Effective Date

The date on which the User first accesses or uses the Platform, unless otherwise specified in an Order Form.

Platform

The suite of proprietary software services, systems and features operated by Yampi, including automated contract management, payment facilitation, maintenance request handling and communication tools accessible through WhatsApp and other interfaces.

Services

The software-as-a-service (SaaS) functionality made available through the Platform, including but not limited to lease contract automation, payment processing, maintenance coordination and AI-based customer interaction tools.

User

Any individual or legal entity (including owners, tenants, property managers or Authorized Agents) who accesses or uses the Platform in any capacity.

2.1 User Eligibility

Access to the Platform is provided only to Users who meet the eligibility requirements set forth in this Agreement. To be eligible to use the Services, you must be at least eighteen (18) years of age or the age of majority in your jurisdiction, whichever is greater.

2.2 Access Suspension or Termination

Yampi may, at its sole discretion and without prior notice, restrict, suspend or terminate access to the Platform for any User who does not meet these eligibility criteria or any other provision of this Agreement.

2.3 Information Accuracy

Users are responsible for ensuring that any information provided during account creation or Platform use is accurate, complete and kept up to date.

3.1 General Obligations

Each User assumes exclusive responsibility for all activities that occur under the User's account or otherwise in connection with the User's use of the Platform, including actions taken by Authorized Agents.

3.2 Account Security

Users must maintain the confidentiality of all login credentials and must promptly notify Yampi upon becoming aware of any unauthorized access, suspected security incident or account information compromise.

3.3 Role-Based Information Accuracy

Property owners and managers must ensure that property information, contractual terms and communications facilitated through the Platform are accurate and legal.

4.1 Access Grant

Yampi will make the Platform and any associated mobile or conversational interface available to each eligible User on a software-as-a-service basis.

4.2 Platform Features and Updates

Yampi will host the Platform on cloud infrastructure located in the United States, the Republic of Colombia, or such other jurisdictions as Yampi may reasonably select.

4.3 Payment Processing

Yampi will process rental payments and other authorized charges through third-party payment processors that comply with the Payment Card Industry Data Security Standard (PCI-DSS).

5.1 Fees and Schedules

Yampi will charge subscription, transaction and auxiliary service fees as established in the applicable Order Form or, in the absence of an Order Form, in the current fee schedule published on the Platform.

5.2 Billing and Payment Terms

Invoices are issued electronically on a monthly basis unless the parties have agreed in writing to a different billing cycle. Each invoice is due and payable, without offset or deduction, within fifteen calendar days of the invoice date.

5.3 Banking Charges and Taxes

Users will bear all banking charges, bank transfer fees, credit card exchange fees and similar pass-through costs and all taxes, levies, duties or similar government assessments of any kind.

6.1 Scope and Legal Framework

Yampi recognizes that Content that Users upload or generate through the Platform: lease agreements, payment instructions, maintenance records, photographs and conversational transcripts, often contains personal data related to owners, tenants and service providers.

6.2 Controller and Processor Roles

Yampi acts as an independent data controller for account-level information that it collects directly from Users, such as registration details, billing identifiers, device metadata and Platform telemetry.

6.4 Security Measures

Yampi employs administrative, technical and physical safeguards aligned with ISO 27001 controls, PCI-DSS for payment data and the US NIST Cybersecurity Framework.

7.1 Yampi Materials

All software, application programming interfaces, documentation, graphics, text, audio, video, algorithms, models, databases and other materials that Yampi makes available through the Platform along with all patents, copyrights, trade secrets, trademarks, service marks, domain names and other associated intellectual property rights.

7.2 User Content

Each User retains ownership of data, documents and other materials that the User uploads to or generates within the Platform. By transmitting User Content, the User grants Yampi and its affiliates a worldwide, royalty-free license.

8.1 Definition of Confidential Information

Each party will maintain in strict confidence all non-public commercial, technical and financial information disclosed by the other party in connection with the negotiation or execution of these Terms.

8.2 Standard of Care

The Receiving Party will use the same degree of care it employs to protect its own comparable sensitive information, and in any event no less than a reasonable standard of care.
