YAMPI, INC.

1. DEFINITIONS AND ACCEPTANCE

1.1 Definitions. For the purposes of these Terms and Conditions (the "Agreement"), the following definitions apply:

  • "Authorized Agent" means any employee, representative, or third-party service provider authorized by a User to interact with the Platform on their behalf.
  • "Content" includes all data, documents, messages, media, and communications submitted, generated, stored, or transmitted via the Platform, whether by Users or automated AI agents.
  • "Effective Date" means the date on which the User first accesses or uses the Platform, unless otherwise specified in an Order Form.
  • "Initial Term" means the first subscription period specified in the applicable Order Form or, if no Order Form exists, the initial period commencing on the Effective Date and continuing for the duration set forth in Yampi's then-current subscription schedule.
  • "Order Form" means any written or electronic ordering document executed by Yampi and a User that specifies Services, fees, usage parameters, and related terms.
  • "Platform" means the suite of proprietary software services, systems, and features operated by Yampi, including automated contract management, payment facilitation, maintenance request handling, and communication tools accessible via WhatsApp and other interfaces.
  • "Privacy Policy" means Yampi's privacy policy as published on its website and updated from time to time.
  • "Renewal Term" means each successive subscription period following the Initial Term, as automatically renewed or otherwise agreed in the applicable Order Form, subject to the fee adjustments and termination rights set out in this Agreement.
  • "Services" means the software-as-a-service (SaaS) functionality made available through the Platform, including but not limited to rental contract automation, payment processing, maintenance coordination, and AI-based customer interaction tools.
  • "Term" means the Initial Term together with any Renewal Term, as defined in the applicable Order Form or otherwise agreed by the parties.
  • "Terms" refers collectively to this Agreement, the Yampi Privacy Policy, and any other referenced or incorporated documents governing use of the Platform.
  • "User" or "you" means any individual or legal entity (including landlords, tenants, property managers, or Authorized Agents) who accesses or uses the Platform in any capacity.
  • "User Content" means all Content uploaded, submitted, or generated by a User in the Platform, excluding Yampi Materials.
  • "Yampi", "we", "us", or "our" refers to Yampi Inc., a corporation incorporated under the laws of the State of Delaware, with its principal place of business in the United States.

1.2 Acceptance of Terms. By accessing or using the Platform in any manner, whether through registration, login, integration with WhatsApp, or any other interface, you:

(a) acknowledge that you have read, understood, and agree to be bound by these Terms; (b) represent and warrant that you have the legal capacity and authority to enter into this Agreement (whether on your own behalf or on behalf of a legal entity); (c) confirm that you are at least 18 years of age (or the legal age of majority in your jurisdiction, if higher); and (d) agree to comply with all applicable laws and regulations governing your use of the Platform and Services.

If you do not agree to these Terms, you must not access or use the Platform.

2. ACCESS & ELIGIBILITY

2.1 User Eligibility

Access to the Platform is provided solely to Users who meet the eligibility requirements set forth in this Agreement. To be eligible to use the Services, you must be at least eighteen (18) years of age or the age of majority in your jurisdiction, whichever is greater. You must also possess full legal capacity to enter into binding contracts and, where acting on behalf of a company, partnership, or other legal entity, you must be duly authorized to do so.

2.2 Suspension or Termination of Access

Yampi may, at its sole discretion and without notice, restrict, suspend, or terminate access to the Platform for any User who fails to comply with these eligibility criteria or any other provision of this Agreement. Yampi further reserves the right to refuse access, revoke credentials, or disable functionality in whole or in part, where it has reason to believe that the Platform is being accessed or used in an unauthorized, unlawful, or abusive manner.

2.3 Accuracy of Information

Users are responsible for ensuring that any information provided during account creation or use of the Platform is accurate, complete, and kept up to date. You agree not to impersonate another person, misrepresent your affiliation with any entity, or access the Services using automated means, bots, or credentials that were not lawfully assigned to you.

2.4 Geographic and Role-Based Limitations

Yampi does not guarantee that the Platform will be available in all jurisdictions or to all categories of Users. Certain features may be limited based on your geographic location, applicable regulatory restrictions, your role in relation to a property (for example, landlord, tenant, or property manager), or the nature of your contractual relationship with a property-owning entity. Yampi reserves the right to implement geo-blocking or feature restrictions as necessary to comply with applicable law in Delaware, Colombia, or any other jurisdiction where the Platform is accessed.

3. USER RESPONSIBILITIES

3.1 General Obligations

Each User bears sole responsibility for all activities that occur under the User's account or otherwise in connection with the User's use of the Platform, including actions undertaken by Authorized Agents. Users shall employ the Platform strictly in accordance with this Agreement, all applicable laws and regulations, and any documentation or reasonable instructions issued by Yampi. No User may employ the Platform to engage in conduct that is fraudulent, deceptive, defamatory, abusive, harassing, infringing, or otherwise unlawful, nor may any User attempt to interfere with the integrity, security, or performance of the Platform or with other Users' enjoyment thereof. Unauthorized access to or use of Yampi's systems, accounts, or data is strictly prohibited, as is any attempt to reverse‑engineer, decompile, disassemble, or otherwise derive source code or trade secrets from the Platform.

3.2 Account Security

Users must maintain the confidentiality of all login credentials and must notify Yampi promptly upon learning of any unauthorized access, suspected security incident, or compromise of account information. Yampi disclaims liability for losses that arise from a User's failure to safeguard credentials or Content.

3.3 Accuracy of Information by Role

Landlords and property managers must ensure that property information, contractual terms, and communications facilitated through the Platform are accurate and lawful, and must update such information without undue delay when changes occur. Tenants must provide and maintain truthful payment details, contact information, and maintenance requests. In all cases, Users may not employ the Platform to evade or delay legal or contractual obligations, including but not limited to timely payment of rent, compliance with applicable housing regulations, or performance of repair obligations.

3.4 Prohibited Use of the Platform

Users shall not use the Platform in a manner that: (a) circumvents, disables, or interferes with security-related features; (b) involves automated data scraping, bots, or similar unauthorized tools; (c) infringes intellectual-property rights, trade secrets, or the privacy of others; or (d) exposes Yampi or other Users to reputational, financial, or regulatory risk.

4. SERVICES AND PLATFORM ACCESS

4.1 Grant of Access

Yampi will make the Platform and any associated mobile or conversational interfaces available to each eligible User on a software‑as‑a‑service basis. The Platform comprises the modules and features expressly described on Yampi's public site or in any Order Form executed between Yampi and a real‑estate brokerage or property‑management firm; those descriptions are incorporated by reference and may be updated from time to time to reflect improvements that do not materially diminish core functionality.

4.2 Platform Features and Updates

Yampi will host the Platform on cloud infrastructure located in the United States, the Republic of Colombia, or such other jurisdictions as Yampi may reasonably select, provided that Yampi maintains industry‑standard administrative, technical, and physical security controls designed to protect the confidentiality, integrity, and availability of Content.

4.3 Payment Processing

Yampi will process rent payments and other authorized charges through third‑party payment processors that comply with the Payment Card Industry Data Security Standard (PCI‑DSS) and any analogous Colombian regulations governing electronic payments.

4.4 Support Services

Yampi will provide basic remote technical support in English and Spanish during normal business hours for the United States (UTC 5) and will accept urgent support tickets on a 24/7 basis.

5. FEES, BILLING, CURRENCY CONVERSION & TAXES

5.1 Fees and Schedules

Yampi will charge the subscription, transaction, and ancillary service fees that are stated in the applicable Order Form or, in the absence of an Order Form, in the then‑current fee schedule published on the Platform.

5.2 Invoicing and Payment Terms

Invoices are issued electronically on a monthly cadence unless the parties have agreed in writing to a different billing cycle. Each invoice is due and payable, without set‑off or deduction, within fifteen calendar days of the invoice date.

5.3 Bank Charges and Taxes

Users will bear (a) all bank charges, wire‑transfer fees, credit‑card interchange fees, and similar pass‑through costs and (b) all taxes, levies, duties, or similar governmental assessments of any kind, including value‑added, use, sales, withholding, or digital‑services taxes (collectively "Taxes"), that are assessable by any jurisdiction arising from or associated with payments under these Terms.

6. DATA PROTECTION, PRIVACY & INFORMATION GOVERNANCE

6.1 Scope and Legal Framework

Yampi recognizes that the Content Users upload or generate through the Platform: lease agreements, payment instructions, maintenance records, photographs and conversational transcripts, often contains personal data relating to landlords, tenants and service providers.

6.2 Controller and Processor Roles

Yampi acts as an independent "data controller" (or "responsable") for account‑level information it collects directly from Users such as registration details, billing identifiers, device metadata and Platform telemetry.

6.4 Security Measures

Yampi employs administrative, technical and physical safeguards aligned with ISO 27001 controls, PCI‑DSS for payment data and the U.S. NIST Cybersecurity Framework.

7. INTELLECTUAL PROPERTY, CONTENT LICENSE & FEEDBACK

7.1 Yampi Materials

All software, application programming interfaces, documentation, graphics, text, audio, video, algorithms, models, databases and other materials that Yampi makes available through the Platform (collectively, the "Yampi Materials") together with all associated patents, copyrights, trade secrets, trademarks, service marks, domain names and other intellectual‑property rights (collectively, "IP Rights") are and shall remain the exclusive property of Yampi Inc. and its licensors.

7.2 User Content

Each User retains ownership of the data, documents and other materials that the User uploads to or generates within the Platform ("User Content"). By transmitting User Content, the User grants Yampi and its affiliates a worldwide, royalty‑free license, for the duration of applicable IP Rights.

8. CONFIDENTIALITY AND NON-DISCLOSURE

8.1 Definition of Confidential Information

Each party (the "Receiving Party") shall keep in strict confidence all non‑public business, technical, and financial information disclosed by the other party (the "Disclosing Party") in connection with the negotiation or performance of these Terms, whether conveyed orally, visually, or in writing and whether or not marked or identified as confidential ("Confidential Information").

8.2 Standard of Care

The Receiving Party will use the same degree of care it employs to protect its own comparably sensitive information, and in any event no less than a reasonable standard of care.
